These Terms of Service ("Terms") constitute a legally binding agreement between you and MU Works LLC regarding your access to and use of the hayway software application and platform. By accessing or using the Service, you agree to be bound by these Terms.
1. Description of Service
hayway is a childcare management, internal billing, and compliance automation platform. The platform is designed to allow childcare centers, preschools, and camps ("Providers") to manage attendance, coordinate scheduling, automate state subsidy tracking, and collect tuition from parents or guardians ("End Users").
hayway hearth is an adult-directed household planning and recordkeeping service for home education and family operations. Its exports are family-maintained records that users must review. hearth is not a school, accreditor, government agency, legal adviser, or tax adviser. It does not determine whether a household meets state requirements and does not file records with a government agency.
2. User Accounts and Responsibilities
- Accuracy: You agree to provide accurate, current, and complete information during registration and account maintenance.
- Security: You are entirely responsible for maintaining the confidentiality of your account credentials, including PIN codes and device authenticators used for check-ins. You must notify us immediately of any unauthorized use of your account.
- Provider Obligations: Providers are solely responsible for ensuring that their collection, storage, and use of student and family data complies with all local, state, and federal privacy regulations.
- hearth Household Access: A household owner decides whom to invite and which role to assign. Owners are responsible for keeping membership and contact information current and inviting only people they authorize to access household records.
3. Fees, Billing, and Fintech Operations
- SaaS Subscriptions: Providers agree to pay the subscription fees associated with their selected software tier (such as Home, Home Pro, Starter, or Pro). Subscription fees are non-refundable and automatically renew each billing period unless canceled through your billing portal or by written notice.
- hearth Subscriptions: After any stated trial, a hearth subscription renews monthly or annually at the price shown at checkout unless canceled through the billing portal. Canceling stops future renewal and does not retroactively refund a completed billing period except where required by law.
- Payment Processing via Stripe Connect: hayway integrates with Stripe Connect to facilitate payment processing. By using our billing tools, Providers agree to Stripe's Connected Account Agreement.
- Transaction Markups and Fees: hayway reserves the right to collect an application fee or markup on transactions processed through the system (including credit card and ACH transfers). Providers may configure their account to pass convenience fees directly to End Users where legally permissible.
- Compliance Fees: An additional platform fee may be applied to transactions or claims processed through our automated state childcare subsidy compliance suite.
4. Biometric Check-In and Passkeys
The Service provides a WebAuthn-based biometric login and check-in mechanism.
- By enabling this feature, you acknowledge that authentication is performed locally by your hardware device.
- MU Works LLC disclaims all liability related to local device hardware failures, unauthorized device access, or the security configuration of your personal mobile device or desktop computer.
5. AI Features, Data Privacy, and Acceptable Use
- AI Assistance: The Service includes optional AI-powered features (including the "AI Co-Director" assistant), which process the questions and text you submit using third-party large-language-model and web-search providers in order to generate responses. AI output may be inaccurate or incomplete and is provided for informational purposes only. You are responsible for independently verifying any compliance, legal, medical, or operational information before relying on it.
- No Sensitive Health Information in AI Features: You agree NOT to enter, paste, or upload any individually identifiable child or family health information, including a child's name combined with medical conditions, allergies, immunization records, diagnoses, medications, or similar sensitive data, into the AI Co-Director, chat, or other AI-powered tools. These features are intended for general, aggregate, and non-identifying questions only. MU Works LLC is not responsible for sensitive information you choose to submit into AI features in violation of this provision.
- Subprocessors: To deliver the Service, hayway relies on reputable third-party infrastructure and service providers (including cloud hosting, database, payment processing, document and video storage, email, and SMS providers). These providers process data only as needed to operate the Service and are bound by confidentiality and data-protection obligations. Data is processed and stored in the United States.
- Provider Data Responsibilities: As stated in Section 2, Providers are the controllers of their student, family, and staff data and are solely responsible for obtaining any necessary consents and for complying with all applicable privacy and data-protection laws (which may include FERPA, COPPA, and state childcare and student-records laws). MU Works LLC acts as a service provider processing such data on the Provider's behalf and only as needed to operate the Service.
- User Content: The Service lets users submit photos, PDFs, receipt images, notes, links, messages, comments, and other records ("User Content"). You are solely responsible for User Content you submit, must have the right to submit it, and must not use the Service to store unlawful or infringing material.
- Zero Tolerance for Objectionable Content: There is zero tolerance for objectionable, abusive, harassing, threatening, or otherwise inappropriate content or behavior. MU Works LLC and Providers reserve the right to remove any User Content and to suspend or terminate any user who violates this policy.
- Reporting and Blocking: You can report objectionable content or block an abusive user directly in the app (press and hold a message to report it or block the sender), or contact us at jalil@haywayapp.com. We review reports and act on violations, typically within 24 hours.
6. Government Subsidy Disclaimers
While hayway provides automated tools to help Providers compile, format, and track attendance for state childcare assistance programs (such as the Kentucky Child Care Assistance Program), MU Works LLC is not a government entity.
Providers are exclusively responsible for auditing, verifying, and submitting final claims. We guarantee no specific recoupment outcomes and accept no liability for state subsidy claim rejections, delays, or compliance penalties.
7. Intellectual Property
The software, branding, user interface designs, and underlying architecture of hayway are the exclusive property of MU Works LLC. You are granted a limited, non-exclusive, non-transferable license to access the platform during your active subscription or authorized use period. You may not reverse-engineer, clone, or scrape the platform.
8. Limitation of Liability
To the maximum extent permitted by law, MU Works LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, loss of data, or operational disruptions resulting from system downtime, payment delays, or unauthorized account access. Our total liability for any claim arising under these Terms shall not exceed the amount you paid to us in the three months preceding the claim.
9. Governing Law
These Terms and your relationship with the Service shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law principles. Any legal actions arising under this agreement must be filed in the appropriate courts located in Indiana.
10. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website or sending an email notification. Continued use of the Service after modifications become effective constitutes acceptance of the revised Terms.

12. SMS / Text Messaging Terms
By providing your mobile phone number and opting in, you consent to receive text messages from hayway (operated by MU Works LLC) and the childcare Provider associated with your account.
- Program description: hayway sends account, billing, and customer-care messages, including tuition invoice notifications, payment confirmations, payment-due and past-due reminders, autopay alerts, account statement notifications, replies to customer-care inquiries, and one-time login verification codes (2FA).
- Consent: Your consent to receive text messages is not a condition of purchasing any goods or services. You represent that you are the account holder or authorized user of the mobile number you provide.
- Message frequency: Message frequency varies based on your account activity and your Provider's billing schedule.
- Cost: Message and data rates may apply. hayway does not charge for text messages, but your mobile carrier's standard rates apply.
- Opt-out: You may opt out at any time by replying STOP to any message. We will send a confirmation, and you will receive no further messages unless you re-enroll. Reply START to resubscribe.
- Help: Reply HELP for assistance, or contact us at jalil@haywayapp.com.
- Delivery: Mobile carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your carrier and is not guaranteed.
13. License-Exempt Providers
Certain subscription tiers are offered to home-based providers who operate without a child care license under their state's license exemption, registration, or certification rules. By registering for such a tier, the Provider attests that they operate lawfully within their state's exemption or certification. MU Works LLC does not verify licensure, registration, or certification status for exempt-tier accounts and provides no guarantee of regulatory compliance. Providers are solely responsible for knowing and satisfying the licensing and registration rules that apply to their program.
14. hayway is a Software Tool
hayway is a software tool. It is not a child care referral agency, a caregiver marketplace, an employer of providers or caregivers, a payer of record, or a tax adviser. MU Works LLC does not match families with providers, does not conduct background checks, and does not classify, withhold, or file taxes on behalf of any party. Providers and families remain solely responsible for their own legal, regulatory, and tax obligations, including any household employment obligations that may arise between a family and a caregiver.
